Terms of Service

The terms that govern access to and use of Loglime products, subscriptions, applications, and support services.

These Terms of Service ("Terms") govern your access to and use of the Loglime platform, website, and related services (collectively, the "Services") provided by Loglime LLC ("Loglime," "we," "our," or "us").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

These Terms form a legally binding agreement between you (an individual or the legal entity you represent) and Loglime.

1. Definitions

  • "Account" means the account you create to access and use our Services.
  • "Customer" or "you" means the individual or entity that has agreed to these Terms and uses our Services.
  • "End Users" means your restaurant's customers who interact with the features provided by our Services (ordering, booking, loyalty).
  • "Content" means any text, images, data, or other material you upload to or create through our Services.
  • "Subscription" means your paid access to our Services under a selected plan.
  • "Platform" means the Loglime web application accessible at app.loglime.com.
  • "Website" means loglime.com.

2. Account Registration and Eligibility

2.1 Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into a binding contract
  • Not be prohibited from receiving our Services under applicable law
  • Use our Services only for lawful business purposes

2.2 Account Creation

You may register for an account via email and password, or via Google OAuth. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at security@loglime.com of any unauthorized access to your account

You may not share your account credentials with others. One account may be used by the individual or business entity it represents. Team member access is managed through the Team Management feature within the platform.

2.3 Business Accounts

If you register on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms and that "you" refers to that entity.

3. Services Description

Loglime provides a software-as-a-service (SaaS) platform that enables restaurant operators to:

  • Accept commission-free food and beverage orders online
  • Publish and manage digital menus
  • Accept table reservations and manage bookings
  • Run customer loyalty and rewards programs
  • Publish branded restaurant apps on iOS and Android
  • Manage customer relationships and communications through the CRM

The specific features available to you depend on your subscription plan.

4. Free Trial

4.1 Trial Period

Loglime offers a 14-day free trial for new accounts. During the trial period:

  • No credit card is required
  • You have access to the features included in your selected plan
  • You may cancel at any time without charge

4.2 Trial Limitations

  • One free trial per person, company, or restaurant
  • Creating multiple accounts to extend free access is prohibited
  • Trial accounts may have usage limits on orders, bookings, or API calls

4.3 Conversion to Paid

At the end of your trial, you must enter payment information to continue. If you do not convert, your account will be paused and data retained for 30 days before deletion.

5. Subscription and Payment

5.1 Subscription Plans

Loglime offers subscription plans as described on our Pricing page (loglime.com/pricing). Features, pricing, and order limits vary by plan.

5.2 Billing

  • Subscriptions are billed monthly or annually, depending on your selection
  • Payment is due at the start of each billing period
  • Annual subscriptions are charged in full upfront at the discounted annual rate
  • All prices are exclusive of applicable taxes

5.3 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize Loglime to charge your payment method for the subscription fees at the applicable intervals. You represent that you are authorized to use the payment method provided.

5.4 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' advance notice of any price changes via email and/or in-platform notification. Continued use of our Services after the effective date of a price change constitutes acceptance of the new pricing.

5.5 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your purchase. Loglime will charge applicable taxes where required by law (e.g., VAT in applicable jurisdictions). Prices displayed on our website may or may not include taxes depending on your location.

5.6 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not received within 7 days of the initial failure:

  • Your account may be suspended
  • You will receive email notices requesting updated payment details
  • Suspended accounts retain data for 30 days before account termination

5.7 Stripe's Terms

Your payment information is governed by Stripe's Terms of Service and Privacy Policy, available at stripe.com. Loglime does not store full credit card numbers.

Summary:

  • 14-day free trial: No charge, cancel anytime
  • Monthly subscriptions: No refunds for partial months after billing
  • Annual subscriptions: Prorated refunds available within 30 days of annual renewal
  • Setup fees: Non-refundable once work has commenced
  • Exceptional circumstances: Reviewed on a case-by-case basis

7. Acceptable Use

7.1 Permitted Use

You may use Loglime only for lawful purposes in connection with operating a legitimate food and beverage business.

7.2 Prohibited Use

You agree not to:

  • Use the Services to promote, sell, or facilitate the sale of illegal goods or substances
  • Use the Services to operate a business other than a legitimate food and beverage establishment
  • Violate any applicable law, regulation, or third-party right
  • Upload content that is defamatory, obscene, harassing, hateful, or invasive of another's privacy
  • Introduce malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems, other accounts, or related networks
  • Engage in scraping, crawling, or automated data extraction without written permission
  • Resell or sublicense the Services without explicit written authorization
  • Use the Services to send unsolicited commercial messages (spam)
  • Create multiple accounts to circumvent account restrictions or bans
  • Impersonate Loglime, its employees, or any third party
  • Use the Services in a way that disrupts the service for other users
  • Falsely represent the nature, source, or ownership of digital menu items
  • List items for sale that you do not intend or are unable to deliver

7.3 Content Standards

Any content you upload or create through our Services (menus, images, descriptions, promotions) must:

  • Accurately represent your food and beverage offerings
  • Not make false or misleading claims about products or ingredients
  • Comply with applicable food labeling and allergen disclosure requirements in your jurisdiction
  • Not infringe third-party intellectual property rights
  • Not contain adult, violent, or otherwise inappropriate material

8. App Store Publishing

8.1 Your Responsibilities

When Loglime publishes a restaurant app on your behalf:

  • You must maintain a valid Apple Developer account ($99/year, billed by Apple to you)
  • You must comply with Apple's App Store Review Guidelines and Google Play Developer Policy at all times
  • You are responsible for ensuring menu content, allergen information, and pricing displayed in the app are accurate
  • You are responsible for obtaining any licenses or permissions required to use trademarks, logos, or images in your app

8.2 App Store Compliance

Apple and Google may remove apps from their stores for policy violations. Loglime is not liable for app removal due to your content or policy violations. We will work with you in good faith to resolve any compliance issues.

8.3 App Ownership

Upon full payment of applicable fees, the published restaurant app is operated under your restaurant's brand. Loglime retains the underlying platform technology. Upon termination of your subscription, app store listings may be unpublished.

9. Intellectual Property

9.1 Loglime's Intellectual Property

Loglime and its licensors own all right, title, and interest in and to the Services, including the platform software, design, code, databases, content (excluding Your Content), logos, trademarks, and all intellectual property therein. These Terms do not grant you any right to use Loglime's trademarks, logos, or branding.

9.2 License to Use

Subject to your compliance with these Terms and payment of applicable fees, Loglime grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription period for your internal business purposes.

9.3 Your Content

You retain all rights to the content you upload to Loglime — your menu items, images, descriptions, pricing, and branding materials ("Your Content"). You grant Loglime a limited license to use, host, reproduce, and display Your Content solely as necessary to provide the Services to you.

You represent that you own or have the necessary rights to Your Content and that it does not violate the rights of any third party.

9.4 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant Loglime a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without restriction or compensation to you.

10. Confidentiality

Each party may disclose confidential information to the other in connection with the Services. Each party agrees to:

  • Keep the other's confidential information in strict confidence
  • Not disclose it to third parties without prior written consent
  • Use it only for the purposes of this agreement
  • Apply at least the same degree of protection as it uses for its own confidential information

This obligation does not apply to information that is: (a) publicly available, (b) independently developed, (c) already known to the receiving party, or (d) required to be disclosed by law.

11. Third-Party Services

Our Services integrate with third-party services including Stripe, Google, and others. Your use of those services is subject to the respective third-party terms and privacy policies. Loglime is not responsible for third-party services, their availability, or any actions or omissions by third-party providers.

12. Uptime and Service Availability

12.1 Service Levels

  • Starter and Growth plans: We target 99.5% monthly uptime, excluding scheduled maintenance.
  • Scale plans: We provide a 99.9% monthly uptime SLA with remedies for downtime below this threshold.

12.2 Scheduled Maintenance

We perform scheduled maintenance during low-traffic periods (typically between 2am–5am UTC). We provide advance notice of planned maintenance via email and our status page.

12.3 Service Interruptions

We are not liable for service interruptions caused by: your hardware or software, your internet connection, third-party service providers, force majeure events (see Section 18), or events outside our reasonable control.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT FULLY APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGLIME, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS, OR GOODWILL
  • LOSS OF DATA OR INABILITY TO ACCESS DATA
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

IN ALL CASES, LOGLIME'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO LOGLIME IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

THESE LIMITATIONS APPLY WHETHER THE LIABILITY ARISES IN CONTRACT, TORT, STATUTE, OR OTHERWISE, AND EVEN IF LOGLIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Loglime and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your Content, including any claim that it infringes third-party intellectual property rights
  • Your use of the Services in a manner not authorized by these Terms
  • Your violation of any applicable law or regulation
  • Any claim from your End Users (restaurant customers) related to your restaurant's operations

16. Term and Termination

16.1 Term

These Terms begin when you create an account and continue until terminated by either party.

16.2 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting support@loglime.com

16.3 Termination by Loglime

We may suspend or terminate your account, with or without notice, if:

  • You breach these Terms or any other Loglime policy
  • You fail to pay applicable fees
  • We are required to do so by law or legal process
  • Your use of the Services may cause harm to Loglime, other users, or third parties
  • We discontinue the Services (with 60 days' advance notice where reasonably possible)

16.4 Effect of Termination

Upon termination:

  • Your access to the Services ceases immediately
  • Published apps may be unpublished from app stores
  • Your data will be retained for 30 days following termination, after which it may be permanently deleted
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

16.5 Data Export

Prior to termination, you may export your data from the platform. We cannot recover deleted data after the 30-day retention period.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Courts of Delaware, United States, unless otherwise required by applicable consumer protection law in your country.

18. Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us at legal@loglime.com to describe your concern. We will make good-faith efforts to resolve disputes informally within 30 days.

If informal resolution fails, disputes shall be resolved through binding arbitration, except that either party may bring claims in small claims court for disputes within applicable limits. The arbitration shall be conducted under the rules of American Arbitration Association (AAA) and may be conducted remotely.

You agree that any dispute resolution proceedings will be conducted on an individual basis, not as a class action or representative action.

This dispute resolution clause does not apply to intellectual property infringement claims, which may be pursued through regular legal channels.

19. Force Majeure

Loglime is not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government actions, internet outages, third-party service failures, or labor disputes.

20. Entire Agreement and Severability

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Loglime regarding the Services.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

21. Waiver

Loglime's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without Loglime's prior written consent. Loglime may assign its rights and obligations under these Terms without restriction.

23. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice on our website at least 14 days before the changes take effect.

Continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms.
